Brew - Viewer Terms of Service

This Viewer Terms of Service agreement (the "Agreement") is a legally binding contract between you ("Viewer," "you," or "your") and Create Stir Inc., a Delaware corporation with offices at 614 N. DuPont Hwy, Suite 210, Dover, Kent 19901 (“Create Stir”, "Stir," "we," "us," or "our"). This Agreement governs your use of Create Stir's video-on-demand platform, Brew (the "Platform", “Brew”) for viewing and purchasing audio-visual content.

By using the Platform, you accept this Agreement. If you do not accept the terms of this Agreement, you may not use the Platform. By accepting this Agreement, you confirm that you are at least 18 years old (or the age of majority where you reside, whichever is older) and that you are able to form a legally binding contract. If you are under 18 years of age, you may use the Platform only with involvement of a parent or guardian.

1. The Service

Brew (the "Service") is a personalized service that offers, recommends and helps you discover digital movies, documentaries, and other video content (collectively, "Digital Content") including classics, festival favorites, and premieres. The Service allows you to rent or purchase Digital Content for streaming across compatible devices including phones, laptops, desktops, TVs, and other supported platforms.

2. Compatible Devices

In order to stream or download Digital Content, you will need to use a personal computer, mobile device, smart TV, or other device that meets the system and compatibility requirements that we establish from time to time (a "Compatible Device"). The Service is available on Android TV, Apple TV, Fire TV, iOS, Android, and web browsers. Some Compatible Devices may be used only to stream Digital Content. We may change the requirements for Compatible Devices from time to time and, in some cases, whether a device is (or remains) a Compatible Device may depend on software or systems provided or maintained by the device manufacturer or other third parties.

3. Digital Content

3.1 General

The Service allows you to: (i) rent Digital Content for on-demand viewing over a limited period of time ("Rental Digital Content"), and (ii) purchase Digital Content for on-demand viewing over an indefinite period of time ("Purchased Digital Content"). Digital Content may be available for rent, purchase, or both, and in each case is subject to the limited license grant below.

Digital content is the responsibility of the person or entity that provides it to the Service. Create Stir is under no obligation to host or serve Digital Content. If you see any Digital Content you believe does not comply with this Agreement, or the law, you can report it by contacting us.

3.2 Rental Transactions

When you rent a video, you will typically have 30 days from the time of rental to begin watching. Once you start playback, you will generally have 48 hours to watch the video multiple times. During this 48-hour viewing window, you may watch the rented content for a cumulative total of up to 6 hours to ensure fair usage of our rental service.

3.3 Purchase Transactions

When you purchase a video, you will have the right to stream it any number of times for as long as it is available on the Platform. To ensure fair usage, streaming of purchased content is limited to a cumulative total of 20 hours per calendar month. This limit resets automatically on the first day of each month.

3.4 Bundles or Collections

Some Digital Content may be offered as bundles or collections, which are collections of multiple movies that you can rent or purchase. Rental bundles typically remain available for 30 days from purchase, and once you begin playback of any movie within the bundle, that specific title usually expires within 48 hours. Purchase bundles provide access to all titles within the bundle as long as they remain available on the Platform.

3.5 Video Resolution

Digital Content is offered in two resolutions for rent or purchase: SD (Standard Definition) and HD (High Definition). You can choose your preferred resolution when renting or purchasing. If you rent or purchase content in HD, the SD option is automatically included. Our HD content delivers up to 1080p resolution, with select titles offering up to 1440p. 4K Ultra High Definition content is exclusively available through our TV applications on supported platforms.

4. Prohibited Activities and Anti-Piracy Enforcement

4.1 Prohibited Content Usage

You may not: (a) transmit, distribute, or share any Digital Content with others; (b) publicly exhibit any Digital Content; (c) resell access to any Digital Content; (d) allow others to log into your Create Stir account for the purpose of watching Digital Content; or (e) use any technology to circumvent geographic or other access restrictions; (f) misuse any reporting, flagging, complaint, dispute, or appeals process, including by making groundless, vexatious, or frivolous submissions; (g) sell any advertising, sponsorships, or promotions placed on, around, or within the Service or Content. You are also strictly prohibited from downloading, recording, screen capturing, or creating copies of Digital Content through any means. You may not bypass, disable, or tamper with any digital rights management (DRM) systems, security features, or technological protection measures.

4.2 Monitoring and Detection

We employ comprehensive technological measures, monitoring systems, and detection mechanisms to identify and prevent unauthorized use of Digital Content. Our systems continuously monitor user activity and employ forensic technologies to trace unauthorized copies back to specific accounts.

4.3 Consequences of Violations

Upon detection of prohibited activity, we may immediately suspend or terminate your account, revoke access to all content, and forfeit payments without refund. We will pursue all available legal remedies, including civil litigation for damages and attorney fees.

4.4 Law Enforcement Cooperation

You expressly consent to our disclosure of your personal information, account details, usage records, device information, IP addresses, and other relevant data to federal, state, and local law enforcement authorities when we reasonably believe prohibited activities have occurred. Such activities may constitute federal crimes under the Digital Millennium Copyright Act (DMCA), Computer Fraud and Abuse Act (CFAA), and other applicable laws.

5. Content Availability

5.1 Availability

Digital Content is provided on an "as-available" basis, and Create Stir makes no guarantee that any particular Digital Content will remain available for streaming after purchase or rental. If Digital Content becomes unavailable for any reason, Create Stir may, at its sole discretion and without penalty, eliminate or reduce your remaining access time to such content. For purchased Digital Content, if a filmmaker or content owner decides to remove their content from the Platform, Create Stir will provide you with thirty (30) days advance written notice before such content becomes unavailable, allowing you to complete viewing of purchased content before removal. Create Stir shall not be liable to provide refunds, credits, or other compensation in the event that Digital Content becomes unavailable, regardless of whether such unavailability occurs during a rental period or after purchase.

5.2 Device and Territory Restrictions

Certain Digital Content may not be available on all Compatible Devices or in all territories due to licensing agreements and distribution rights imposed by content owners. Your purchase or rental grants access rights only within the geographic territory where the transaction was completed and only on specified Compatible Devices. While casting functionality may be available for certain content, Create Stir does not guarantee casting compatibility with all devices due to technical and licensing limitations. We recommend reviewing the content details page for available viewing options, supported devices, and geographic availability before purchase or rental. Create Stir is not responsible for refunds if content becomes inaccessible due to device incompatibility or geographic restrictions disclosed prior to transaction completion.

5.3 Account Requirements

Digital Content is made available to purchasers exclusively through their Create Stir account. You must maintain your account in good standing in order to stream purchased or rented Digital Content. If your account is deleted or suspended, you will lose the ability to watch Digital Content that you have purchased or rented. Under no circumstances will we transfer viewing privileges to other accounts or platforms.

5.4 Playback Quality

The playback resolution and quality of Digital Content depends on your Compatible Device capabilities, internet bandwidth, and the resolution type you selected when renting or purchasing the content. To ensure uninterrupted viewing, we may automatically adjust resolution and file size of streamed content when bandwidth constraints or technical issues are detected. Our HD content supports resolutions up to 1080p, with select titles available in up to 1440p quality. 4K Ultra High Definition content is exclusively accessible through our television applications on supported platforms and devices.

6. Payment, Pricing and Gifting

6.1 Pricing

You will pay the price displayed at the time of purchase or rental, plus any applicable taxes, fees, and surcharges. Prices may vary by title, content resolution quality, geographic territory, and availability period. Pricing is subject to change without notice, and promotional offers may have limited availability or time restrictions. The final price, including all applicable taxes and fees, will be clearly displayed before transaction completion. Currency conversion fees may apply for international transactions, and exchange rates are determined by your payment provider. If you purchase any automatically renewing Service subscription, you agree that Create Stir will charge the payment method on file on the first day of each billing period for the subscription, and if the payment method on file becomes invalid due to an expired credit card or other reason, and Create Stir is unable to charge you on the next billing period, you may not be able to access the applicable Service until you update your payment method. Where possible, we will provide you with notice when this happens. If you fail to update your payment method within a reasonable amount of time following that notice, Create Stir may cancel your subscription. In some cases, you may transact with a third-party or affiliate platform when you purchase a Service (e.g., if you subscribe to subscriptions using another platform like Apple or Google Play). In these cases, such platform will charge your payment method and be responsible for managing any issues with your payment, including refunds.

6.2 Payment Methods

We accept various payment methods as displayed on the Platform, including major credit cards, debit cards, digital wallets, and other approved payment services. Payment methods may vary by territory and are subject to verification and approval. If we are unable to process your payment using your designated primary payment method due to insufficient funds, expired cards, or technical issues, we reserve the right to charge any alternative payment method we have on file for your account. You are responsible for maintaining current and valid payment information, and for any fees charged by your payment provider.

6.3 Transaction Completion

All transactions are processed immediately upon confirmation of your order and successful payment authorization. Processing may take several minutes depending on your payment method and financial institution. You will receive a confirmation of your purchase or rental via email to your registered account address, which serves as your receipt and proof of purchase. Digital Content will become available for viewing immediately upon successful transaction completion, subject to any streaming delays.

6.4 Discounts and Coupons

Create Stir may, from time to time, offer discounts using coupons on rentals or purchases. Additional terms and conditions, including eligibility criteria, may apply to such coupons and any such additional terms will be made available to you prior to purchase.

6.5 Gifting

You may gift rental access to friends by purchasing gift credits that provide discount coupons for Digital Content rentals. When gifting, you pay the full rental amount upfront, and your friend receives a discount coupon code that can be redeemed during the rental checkout process. Gift coupons are valid only for rentals, not purchases, and are subject to the same terms and conditions as standard rentals including viewing periods and territorial restrictions. Gift coupons must be redeemed within 30 days of making a gift purchase and cannot be exchanged for cash or transferred to other users.

7. Cancellations and Refunds

All Digital Content purchases and rentals are final and non-refundable upon transaction completion. No refunds will be provided for unwatched content, unused rental periods, or dissatisfaction with content quality, including but not limited to video resolution, audio quality, subtitle accuracy, or content itself. Create Stir makes no representations or warranties regarding the quality, accuracy, or suitability of Digital Content. While Create Stir reserves the right to issue discretionary refunds in exceptional circumstances, customers should not expect refunds under any standard circumstances. All sales are considered final regardless of technical issues, content quality concerns, or user satisfaction with the purchased or rented material.

8. User Account

8.1 Account Creation

To use the Service, you must create an account with accurate and up-to-date information including your name, email address, and payment information.

8.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

8.3 Library Access

All Digital Content you have purchased or rented (if not expired) will be available in your Library within your profile. You must log in with the same credentials used during purchase to access your content.

9. Limited License to Digital Content

Subject to payment of charges and compliance with this Agreement, Create Stir grants you a non-exclusive, non-transferable, limited license to access and view Digital Content for personal, non-commercial use only within authorized territories. This license does not grant ownership rights. You may not copy, distribute, or modify any Digital Content. We may automatically remove Digital Content from your devices after viewing periods expire or upon license termination.

10. Software and Applications

10.1 Use of Software

We may make available software and mobile applications for your use in connection with the Service ("Software"). Your use of the Software is subject to additional terms that may be presented to you when you download or install the Software.

10.2 Information Provided

The Service and Software may provide Create Stir with information relating to your use and performance of the Service, as well as information regarding the devices on which you use the Service. This may include information about Digital Content you download, stream, and view.

11. Content and Community Guidelines

11.1 Explicit Content

By using the Service, you may encounter content that may be offensive, indecent, or objectionable. Content may or may not be identified as having explicit language or other attributes. You agree to use the Service at your sole risk, and Create Stir has no liability to you for any content.

11.2 Content Grievances

You may report grievances regarding content availability, age ratings, synopsis, or other content-related issues through the support options available on the Platform.

11.3 Age Ratings

Content ratings and consumer advice are provided for informational purposes. Create Stir does not guarantee the accuracy of ratings and categories.

12. Casting and Streaming Features

12.1 AirPlay and Chromecast

You may use AirPlay or Chromecast features to stream Digital Content to compatible devices. Tap the Cast icon on the content details page or within your Library to select your casting device.

12.2 Audio and Subtitles

Where available, you may change audio language and enable subtitles using the controls within the video player.

12.3 TV App Activation

To use the Create Stir VOD app on TV platforms, you may need to activate your device by visiting the provided URL and entering the activation code displayed on your TV screen.

13. Privacy and Communications

13.1 Privacy

Your use of the Service is subject to Create Stir's Privacy Policy, which describes how we collect, use, and share your information.

13.2 Communications

We may send you communications related to the Service, including promotional emails, push notifications, or messages within the Platform. You may adjust your communication preferences in your account settings.

14. Modifications to Service

Create Stir may modify the Service, Digital Content, and/or Software from time to time to improve functionality, add features, for operational or technical reasons, to maintain content quality, or for legal or security reasons. Create Stir reserves the right to suspend or discontinue the Service, or any part of the Service, at any time without notice, and Create Stir will not be liable to you should it exercise such rights.

15. Termination

15.1 Termination by Create Stir

We may terminate your access to the Service at our discretion with or without notice. If you violate any terms of this Agreement, your rights will automatically terminate without notice, and Create Stir may immediately revoke your access to the Service and Digital Content without refund of any fees.

15.2 Effect of Termination

Upon termination, you must cease all use of the Service and delete any downloaded Digital Content. Provisions of this Agreement that by their nature should survive termination will continue to apply.

16. Disclaimers and Limitations of Liability

16.1 Service Disclaimer

THE SERVICE IS PROVIDED ON AN "AS IS" BASIS. CREATE STIR MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE SERVICE OR DIGITAL CONTENT.

16.2 Limitation of Liability

CREATE STIR WILL NOT BE LIABLE FOR ANY LOST PROFITS OR CONSEQUENTIAL, INDIRECT, INCIDENTAL, PUNITIVE, EXEMPLARY, OR SPECIAL DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT. CREATE STIR'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES ARISING FROM YOUR USE OF THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO CREATE STIR IN THE TWELVE MONTHS PRECEDING YOUR CLAIM.

17. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless Create Stir, its Affiliates, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of the Service; (ii) your violation of any term of these Terms of Service; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your Content caused damage to a third party. This defense and indemnification obligation will survive this Agreement and your use of the Service.

18. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of Delaware. These Terms shall be governed by and construed in accordance with the internal substantive laws of Delaware, without respect to its conflict of laws principles.

19. International Users

Create Stir Inc. makes no representation that the Site or Services are appropriate or available for use outside the United States. If you access the Site from outside the United States, you do so at your own risk and are responsible for complying with local laws.

20. Digital Millennium Copyright Act (DMCA)

If you believe that content on the Site infringes your copyright, you may submit a notification under the DMCA by providing the following information to our designated Copyright Agent:

  1. Your physical or electronic signature;
  2. Identification of the copyrighted work(s) claimed to have been infringed;
  3. Identification of the material alleged to infringe and its location on the Site;
  4. Your contact information (address, phone number, email);
  5. A statement that you have a good faith belief that the use of the material is unauthorized; and
  6. A statement under penalty of perjury that your notification is accurate and that you are authorized to act on behalf of the copyright owner.

21. General Terms

21.1 Entire Agreement

This Agreement constitutes the complete agreement between you and Create Stir regarding the Service.

21.2 Amendment

We reserve the right to change this Agreement at any time. Your continued use of the Service following any changes will constitute your acceptance of such changes.

21.3 Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force and effect.
